Card Programs definition

Card Programs means (i) purchasing card programs established to enable the Borrower or any Subsidiary to purchase goods and supplies from vendors and (ii) any travel and entertainment card program established to enable the Borrower or any Subsidiary to make payments for expenses incurred related to travel and entertainment.
Card Programs means (a) purchasing card programs established to enable headquarters and field staff of each Loan Party or any Domestic Subsidiary to purchase goods and supplies from vendors and (b) any travel and entertainment card program established to enable headquarters and field staff of each Loan Party or any Domestic Subsidiary to make payments for expenses incurred related to travel and entertainment; provided that (i) the aggregate amount of outstanding obligations at any time under all such Card Programs that is secured hereunder does not exceed $5,000,000 and (ii) any such Card Program is (x) is in effect on the Effective Date with an institution that is a Lender or an Affiliate of a Lender as of the Effective Date or (y) is established after the Effective Date with an institution that is a Lender or an Affiliate of a Lender at the time such Card Programs is established.
Card Programs means a system of services and features, mutually agreed upon by Program Manager and Bank, relating to a particular Card Program provided by Program Manager and Bank pursuant to the terms of this Agreement under which Cardholders, subject to a Cardholder Agreement for such Card Program, utilize a Card to submit Transactions into a System utilizing a Settlement Account established by Bank, as described in Schedule 2.2.

  • As Client proposes to offer additional Transaction Card Programs, Client and WildCard shall use good faith efforts to enter into a Program Schedule which will describe the Services that WildCard will provide to Client in support of such Transaction Card Program.

  • In the event the Card Programs are terminated, the Credit Programs shall automatically terminate.

  • Bank may cease providing the Card Programs or Credit Products described herein at any Operator location where compliance with Applicable Law or the requirements set forth in this Agreement have been found to be deficient by Bank or Company.

  • Subject to the terms and conditions of this Agreement, Client hereby grants to WildCard a limited, non-exclusive, non-sublicenseable, royalty-free, worldwide license to use the Client Marks on the Web Site and in other materials which are prepared by WildCard in support of Client's Transaction Card Programs.
