Within twenty (20) days of a Capital Request, each Partner may, but shall not be required to, make Capital Contributions pro rata in accordance with each Partner’s respective Percentage Equity Interest.
Any Partner electing not to make all or any portion of the additional Capital Contribution requested of it in a Capital Request (a “Non-Funding Partner”) shall not have its Percentage Equity Interest or Percentage Voting Interest adjusted.
The date on or before which the Member Capital Contribution shall be due, which date shall not be less than thirty (30) days from the date of the Notice of Capital Request.
Subject to the express provisions of this Article V, each Member may, but shall not be obligated to, contribute its Pro Rata Request Amount as called for in the applicable Capital Request Notice.
In the event any Partner is a Non-Funding Partner with respect to a Capital Request, each Partner making the Capital Contribution requested of it pursuant to such Capital Request (each, a “Full Participant”) shall have the option to make additional Capital Contributions representing its proportionate share (based on the relative Percentage Equity Interest of each Full Participant) of any amount not contributed by the Non-Funding Partner.
Upon the receipt of a Capital Request Notice, each Member shall, within 15 days of such receipt, provide written notice to the Company and the other Members as to the extent to which such Member intends to fund its Pro Rata Request Amount, whether in whole, in part or not at all (a “Response To Capital Call”).
In the event that both Investors deliver written notice to the Company, within 10 Business Days after delivery of any Capital Request, agreeing to make a requested Additional Contribution, each Investor shall be entitled to fund it Proportionate Share of the requested Additional Contribution.
Each Working Capital Request shall provide the following information: (A) the amount of the Loan, which shall not exceed the Working Capital requirements of Guarantor and Borrower for the following calendar month; and (B) wiring instructions.
Within ten (10) Business Days following the date of delivery of an Additional Initial Capital Funding Notice (in each case, the “Additional Initial Capital Request Date”), CNL and Woodfield shall contribute to the Company, in proportion to their Percentage Interests, as Additional Initial Capital, the amount so required, up to the CNL Maximum Initial Capital Contribution, in the case of CNL, and up to the Woodfield Maximum Initial Capital Contribution, in the case of Woodfield.
