Capital Reduction Resolution definition

Capital Reduction Resolution means the resolution approving a return of capital distribution to the holders of our class A exchangeable shares and our class B shares and corresponding reductions to the authorized and issued share capital of the company in the amount necessary to permit the Special Distribution to be effected as a reduction of capital, as more particularly described in the Circular, the full text of which is set out in Appendix “A” – “Resolutions to be Approved at the Meeting” to the accompanying Circular;
Capital Reduction Resolution means the resolution of Members approving the reduction of capital of Strata in accordance with the provisions of Section 256C(1) of the Corporations Act pursuant to which the Shares shall be cancelled without any distribution of assets to the holders thereof;
Capital Reduction Resolution means a special resolution of the Zazu Shareholders reducing its stated capital attributable to the Zazu Shares by an amount that is not represented by realizable assets in accordance with Section 38 of the CBCA;

Any Multiple Series Single Limb Written Resolution may be contained in one document or several documents in substantially the same form, each signed or confirmed in writing by or on behalf of one or more Noteholders or one or more holders of each affected series of debt securities.
