Capital Redemption Reserve means the reserve required to be kept by section 60;

"Capital Reserve" means the premium paid on the issuance of any Share and income from endowments received by the Company. "Chairman" means the Director elected amongst all the Directors as thechairman of the Board. "Company" means the above named company. "Directors" means the directors for the time being of the Company andshall include any and all Independent Director(s). "Dividend" means any dividend resolved to be paid on Shares pursuant tothe Articles. "Electronic Record" has the same meaning as in the Electronic Transactions Law. "Electronic TransactionsLaw" means the Electronic Transactions Law (2003 Revision) of theCayman Islands. "FSC" means the Financial Supervisory Commission of the ROC. "Gross Negligence" in relation to a person means a standard of conduct beyond negligence whereby a person acts with reckless disregard forthe consequences of his action or inaction. "TPEx" means the Taipei Exchange. "Independent Directors" means the Directors who are elected as "IndependentDirectors" for the purpose of the Applicable Public Company Rules.
