Capex Forecast definition

Capex Forecast means the monthly capital expenditure forecast for the period beginning June 2025 and ending on June 2026 with respect to each Capital Project and the Company Group’s maintenance capital program, as set forth in Exhibit O (Capital Forecast).
Capex Forecast has the meaning set forth in Section 5.1(b)(xi).
Capex Forecast means the forecast set out in Section 5.1(a)(xxiv) of the Disclosure Schedule of Capital Expenditures to be made by or on behalf of SemCAMS from and after January 1, 2019 in connection with the capital projects described therein;

  • If as of the Closing Date, Seller shall have expended (without replenishing) from the FF&E Reserve during the 2002 Fiscal Year amounts other than to pay capital expenditures on the Hotel (provided that such capital expenditures shall not be for work performed in the 2001 Fiscal Year other than 2001 carryforward items described on the Capex Forecast) (collectively, “Capex Expenditures”), then Purchaser shall receive a credit against the Purchase Price in the amount of such expenditures.

Capex Forecast has the meaning given to such term set out in Clause 6.2.1 (Payments prior to enforcement).
Capex Forecast means the capital expenditures forecast of the Business set forth on Schedule 1.01(a). “Cash and Cash Equivalents” of any Person means the cash and cash equivalents and deposits (net of outstanding checks) required to be reflected as cash and cash equivalents and deposits on a consolidated balance sheet of such Person and its Subsidiaries, excluding (i) any Restricted Cash, (ii) cash equivalents that are not convertible into cash within thirty (30) days and (iii) security deposits in connection with Leased Real Property; provided that Cash and Cash Equivalents shall be reduced (without duplication) by the amount, if any, by which the net capital expenditures (including entrance into capital leases) reflected in the Capex Forecast for the period from December 31, 2019 to the day prior to the Closing Date (prorated for any partial month) exceeds the net capital expenditures (determined consistent with the Capex Forecast) actually made and paid for prior to the Closing Date (or reflected as a current liability in the calculation of Closing Date Net Working Capital). “Closing Date Net Working Capital” means the Net Working Capital as of 11:59 p.m. on the day immediately prior to the Closing Date. “Code” means the United States Internal Revenue Code of 1986, as amended. 2
Capex Forecast has the meaning given to such term set out in Clause 6.2.1 (Payments prior to enforcement). "Cash Sweep Account" means the account to be opened in the name of the Company with Zenith Bank and the details of which shall be communicated by the Company to all parties within 15 days of the date hereof. "Close Family Member of a Public Official" means a spouse, one of his/her children or parents.
