CapEx Commitment definition

CapEx Commitment means the commitment of the Lender, during the CapEx Commitment Period, to make CapEx Loans to the Borrowers and to convert CapEx Loans to CapEx Term Loans, up to the CapEx Maximum Amount (or such lesser amount as shall be determined pursuant to Section 2.01(c) hereof).
CapEx Commitment means the Capex Draw Commitment and the Capex Term Loan Commitment.
CapEx Commitment means, with respect to each Lender, its Capex Commitment, and, with respect to all Lenders, their Capex Commitments, in each case as such Dollar amounts are set forth beside such Lender’s name under the applicable heading on Schedule C-1 to the Agreement or in the Assignment and Acceptance pursuant to which such Lender became a Lender under the Agreement, as such amounts may be reduced or increased from time to time pursuant to assignments made in accordance with the provisions of Section 13.1 of the Agreement.

Examples of CapEx Commitment in a sentence

  • In addition, in the event and on such occasion that the CapEx Exposure exceeds the CapEx Commitment, the Borrowers shall prepay the CapEx Loans and/or CapEx Term Loans in an aggregate amount equal to such excess.

  • On the last day of the CapEx Commitment Period, the Lenders shall convert all CapEx Loans outstanding into a CapEx Term Loan in the aggregate principal amount of such CapEx Loans.

  • Furthermore, on the CapEx Commitment Termination Date, each Lender’s CapEx Commitment shall be reduced to zero.

  • Such Commitment Fee is due quarterly in arrears on March 31st, June 30th, September 30th, and December 31st of each year, commencing on December 31, 2014, and on the CapEx Commitment Termination Date.

  • The Borrower agrees to pay to the Administrative Agent for the account of each CapEx Lender a commitment fee equal to 0.55% on the average daily amount by which (i) such Lender’s CapEx Commitment exceeds (ii) the sum of such Lender’s outstanding CapEx Advances; provided that, (A) no such commitment fee shall accrue on the CapEx Commitment of a Defaulting Lender during the period such Lender remains a Defaulting Lender and (B) no such commitment fee shall accrue after the CapEx Commitment Termination Date.

  • The CapEx Commitment Fee provided in this subsection 1.9(d) shall accrue at all times from and after mutual execution and delivery of this Agreement until the CapEx Line Termination Date (with all accrued fees due and payable in accordance with the terms of this Agreement).

More Definitions of CapEx Commitment

CapEx Commitment means, as to the Lender, its obligation to make CapEx Loans to the Borrower pursuant to Section 2.01. The amount of the CapEx Commitments in effect for each year will be mutually agreed upon by the Borrower and the Lender thirty (30) days prior to the first day of each year.
CapEx Commitment means, with respect to each Lender, its Capex Commitment, and, with respect to all Lenders, their Capex Commitments, in each case as such Dollar amounts are set forth beside such Lender’s name under the applicable heading on Schedule C-1 to the Agreement or in the Assignment and Acceptance pursuant to which such Lender became a Lender under the Agreement, as such amounts may be reduced or increased from time to time pursuant to assignments made in accordance with the provisions of Section 13.1 of the Agreement. ​
CapEx Commitment means, for each CapEx Lender, the obligation of such CapEx Lender to advance to the Borrower the amount set opposite such CapEx Lender’s name on Schedule II as its CapEx Commitment, or if such CapEx Lender has entered into any Assignment and Acceptance, set forth for such CapEx Lender as its CapEx Commitment in the Register; provided that, after the CapEx Commitment Termination Date, the CapEx Commitment for each CapEx Lender shall be zero. The aggregate CapEx Commitments as of the Amendment No. 1 Effective Date is equal to $5,000,000.00

Related to CapEx Commitment

  • L/C Commitment means the commitment of the Issuing Bank to issue Letters of Credit pursuant to Section 2.23.

  • Revolving Commitment means, as to each Lender, its obligation to (a) make Revolving Loans to the Borrower pursuant to Section 2.01, (b) purchase participations in L/C Obligations and (c) purchase participations in Swing Line Loans, in an aggregate principal amount at any one time outstanding not to exceed the amount set forth opposite such Lender’s name on Schedule 2.01 or in the Assignment and Assumption pursuant to which such Lender becomes a party hereto, as applicable, as such amount may be adjusted from time to time in accordance with this Agreement.

  • Total Revolving Commitment means the sum of the Revolving Commitments of the Lenders as the same may be decreased or increased pursuant to the terms of this Agreement. As of the Closing Date, the amount of the Total Revolving Commitment is $250,000,000.

  • Aggregate Revolving Commitment means the aggregate of the Revolving Commitments of all of the Revolving Lenders, as reduced or increased from time to time pursuant to the terms and conditions hereof. As of the Effective Date, the Aggregate Revolving Commitment is $1,000,000,000.

  • Extended Revolving Commitment shall have the meaning assigned to such term in Section 2.19(a).
