Cap Value definition

Cap Value means an amount equal to the value of fifteen percent (15%) of the Parent Consideration Shares, determined on the basis of the number of shares at the closing price the day before the computation, or if not common shares, the number of common shares into which such Parent Consideration Shares may be convertible, at a conversion price equal to the lower of (A) $0.31 per share, or (B) such lower price as any securities convertible into Common Stock held on or after the date hereof by any Affiliate of Xxxxxx F.X. Sillerman, as may be further adjusted as provided in the Note or in Section 4 of the Purchase Agreement.

(d) If the Public Company Net Debt Excess less the Private Company Net Debt Excess is a negative number (the “Negative Debt Amount”), the Base Number of Shares shall be decreased by a number of shares (rounded up or down to the nearest whole share) equal to the absolute value of the Negative Debt Amount divided by the Public Company Common Stock Reference Price, and, for the avoidance of doubt, there shall be no adjustment to the Additional Cash Payment. (e) An illustrative calculation of the adjustments pursuant to this Section 1.6 is set forth in Exhibit B attached hereto. (f) (i) “Public Company Net Debt” shall mean an amount equal to Indebtedness minus Cash with respect to Public Company and its Subsidiaries on a consolidated basis, as determined as of 11:59 PM (Eastern Time) on the Business Day immediately prior to the applicable date, and “Private Company Net Debt” shall mean an amount equal to Indebtedness minus Cash with respect to Private Company and its Subsidiaries on a consolidated basis, as determined as of 11:59 PM (Eastern Time) on the Business Day immediately prior to the applicable date. (ii) “Indebtedness” shall mean, without duplication, (A) all liabilities for borrowed money, whether current, short-term, long-term, secured or unsecured, all obligations evidenced by bonds, debentures, notes or similar instruments, and all liabilities in respect of mandatorily redeemable or purchasable capital stock or securities convertible into capital stock; (B) all liabilities for the principal amount of the deferred and unpaid purchase pr...
