During the term of the Strategic Agreement, InterMetro may deliver purchase orders to Cantata as set forth below.
Purchases pursuant to such purchase orders shall be subject to the terms of this Term Sheet and of Cantata’s Standard Terms and Conditions for Excel and Cantata Product Lines, attached hereto as Exhibit A.
Cantata and InterMetro are hereby entering into a strategic agreement (the “Strategic Agreement”) for the implementation of Cantata equipment into InterMetro’s extensive nationwide network (the “Network”) through the deployment of networking equipment and technology (the “Equipment”) provided by Cantata.
Client shall provide current technical contact information to Cantata.
Unless otherwise specifically provided by Cantata in writing, any support for Third Party Software shall be provided directly to Client by the licensor of such Third Party Software.
Client shall pay Cantata fees for Software and Services, as indicated on the Order Form.
Notwithstanding the foregoing, Cantata shall have the right to terminate this Agreement immediately for failure by Client to make payments owed under this Agreement, provided that Client shall remain obligated to pay the full amount owed for the remainder of Term.
Client is responsible and will pay Cantata all fees for the entire Term, regardless of whether Software is actually implemented, “gone live,” or in production.
Cantata may immediately suspend Client’'s account and access to the Software, Third Party Software and Services if Client fails to make payment due within five (5) business days after Cantata has provided Client with written notice of such failure.
Client shall provide Cantata, in the form and format and on the schedule specified by Cantata Health, all Client Data reasonably required for Cantata’ performance hereunder.
