  • Calliditas shall, at its sole cost, complete the Ongoing Clinical Trial except to the extent that it is not able to do so due to any safety issue or regulatory restriction or other circumstances outside the control of Calliditas and its Affiliates.

  • Accordingly, Licensee shall not assign, pledge, charge, or otherwise transfer any rights or obligations under this Agreement, other than to an Affiliate or in connection with a sale of all or substantially all of its stock or assets to which this Agreement pertains, without the prior written consent of Calliditas.
