The Company has authorized the issuance and delivery of Callable Warrants exercisable for up to $3,000,000 worth of shares of Common Stock in connection with the issuance, sale, and delivery of the Bridge Notes.
In connection with the issuance of the Bridge Notes, the Company has authorized the issuance of Purchase Warrants, in substantially the form attached hereto as EXHIBIT B (the "WARRANTS") and Callable Warrants in substantially the form attached hereto as EXHIBIT C (the "CALLABLE WARRANTS"), each giving a Purchaser the right to purchase Common Stock.
The Callable Warrant Shares issuable upon exercise of the Callable Warrants have been duly authorized and reserved for issuance.
