Call Back means calling of an employee to duty after he has reported off duty and before he/she is next scheduled for work. Employees designated for standby duty under Article 28 shall not be eligible for call back.
Call Notice shall have the meaning specified in Section 1.1 of the Warrant Agent Agreement.
Call and Put Period means the period commencing on and including the Issue Date to and including the day after 10 February 2022 or, if such date is not a Business Day, the next following Business Day.
Call-by-call basis means any method of charging for telecommunications services where the price is measured by individual calls.
Call Period shall have the meaning set forth in Section 6(c) hereof.
Call Warrant As defined in the recitals.
Call Rights As defined in Section 9.01(f).
Put Option means an exchange traded option with respect to Securities other than Stock Index Options, Futures Contracts, and Futures Contract Options entitling the holder, upon timely exercise and tender of the specified underlying Securities, to sell such Securities to the writer thereof for the exercise price.
VWAP Purchase Notice means an irrevocable written notice from the Company to the Buyer directing the Buyer to buy Purchase Shares on the VWAP Purchase Date pursuant to Section 1(c) hereof as specified by the Company therein at the applicable VWAP Purchase Price with the applicable VWAP Purchase Share Percentage specified therein.
Call Right The right of the holder thereof (or any successor), as named in the applicable Supplement, to purchase Certificates from the Holders thereof or to purchase Underlying Securities from the Trust.
Clean-Up Call Date The second Distribution Date immediately following the Auction Termination Date.
Exercise Notice Deadline In respect of any exercise of Options hereunder on any Conversion Date, the “Scheduled Trading Day” prior to the scheduled first “VWAP Trading Day” of the “Observation Period” (each as defined in the Indenture, but, in the case of any such Observation Period, as modified by the provision set forth opposite the caption “Convertible Security Settlement Method”) relating to the Convertible Securities converted on the Conversion Date occurring on the relevant Exercise Date; provided that in the case of any exercise of Options hereunder in connection with the conversion of any Relevant Convertible Securities on any Conversion Date occurring during the period starting on and including June 4, 2020 and ending on and including the second “Scheduled Trading Day” immediately preceding the “Maturity Date” (each as defined in the Indenture) (the “Final Conversion Period”), the Exercise Notice Deadline shall be noon, New York City time, on the “Scheduled Trading Day” (as defined in the Indenture) immediately preceding the “Maturity Date” (as defined in the Indenture).
Retraction Call Right has the meaning ascribed thereto in the Exchangeable Share Provisions.
Partial Entitlement Share(s) shall have the respective meanings set forth in Section 2.12.
Call In means the calling in to work at the Employer's request of an employee on an assigned day off as per the posted schedule.
Shareholder-Initiated Transfer Redemption means a transaction that is initiated or directed by a Shareholder that results in a transfer of assets within a Contract out of a Fund, but does not include transactions that are executed: (i) automatically pursuant to a contractual or systematic program or enrollments such as transfers of assets within a Contract out of a Fund as a result of annuity payouts, loans, systematic withdrawal programs, insurance company approved asset allocation programs and automatic rebalancing programs; (ii) as a result of any deduction of charges or fees under a Contract; (iii) within a Contract out of a Fund as a result of scheduled withdrawals or surrenders from a Contract; or (iv) as a result of payment of a death benefit from a Contract.
Applicable Par Call Date means with respect to the (i) 2028 Notes, June 12, 2028, (ii) 2031 Notes, May 12, 2031, (iii) 2041 Notes, February 12, 2041, (iv) 2051 Notes, February 12, 2051 and (v) 2061 Notes, February 12, 2061.
Call Option means an exchange traded option with respect to Securities other than Stock Index Options, Futures Contracts, and Futures Contract Options entitling the holder, upon timely exercise and payment of the exercise price, as specified therein, to purchase from the writer thereof the specified underlying Securities.
Call Date means the date specified in the notice to holders required under Section 5(d) as the Call Date.
Bidders from a country which shares a land border with India for the purpose of this Order means:
Redemption Call Right has the meaning provided in the Exchangeable Share Provisions.
Repurchase Notice has the meaning set forth in Section 8.6(a).
Minimum Subsequent Subscription means, in relation to the Euro Non-RDR ‘Retail’
call-out /”claim” means each separate request for service or benefit for cover under any section of this RAC Breakdown Cover;
Put Right has the meaning set forth in Section 8.05(a).
Forced Conversion has the meaning set forth in Section 4.05(c) hereof.
