Call Payment definition

Call Payment shall have the meaning set forth in Section 3(2).
Call Payment means: (i) if no Token Swap has occurred: the Attributed Tokens, made via Purchaser withdrawing the same from the Purchaser Maintained Wallet and (ii) if a Token Swap has occurred: (A) the Attributed Tokens made via Purchaser withdrawing the same from the Purchaser Maintained Wallet; plus, (B) a cash payment equal to the product of: (x) the Part One Preferred Shares Outstanding multiplied by (y) the Reference Price multiplied by (z) Swapped Token Factor.
Call Payment means the payment made to the Client in which is a proportion of the Call Revenue

Examples of Call Payment in a sentence

  • Notwithstanding anything to the contrary contained herein, the Holder shall be entitled to exercise this Warrant in whole or in part at any time after the receipt of the Call Notice until the receipt by the Holder of the Call Payment.

  • In the event that the Holder chooses to exercise all or a portion of the Warrant after receipt of the Call Notice, the Company shall have the option to rescind such Call Notice or to exercise its call option with respect to that portion of the Warrant which remains unexercised through the delivery of a pro rata portion of the Call Payment.

  • Such payment shall be made on any date (the "Optional Call Payment Date") established by the Company, which in no event shall be more than 30 days after the Optional Call Date, to holders of record at the close of business on the tenth business day following such Optional Call Date.

Call Payment has the meaning ascribed to such term in Section 1.01 of the UiE Agreement. “Change of Control” means the occurrence of any one or more of the following: (a) the acquisition, whether directly, indirectly, beneficially or of record, whether by merger, scheme of arrangement, consolidation, sale or other transfer of securities in a single transaction or series of related transactions, by any Person of any voting securities of the Seller, or if the percentage ownership of any Person in the voting securities of the Seller is increased through stock redemption, cancellation, or other recapitalization, and immediately after such acquisition or increase such Person is, directly or indirectly, the beneficial owner of voting securities representing more than fifty percent (50%) of the total voting power of all of the then outstanding voting securities of the Seller; (b) a merger, scheme of arrangement, consolidation, recapitalization, or reorganization of the Seller is consummated that would result in shareholders or equity holders of the Seller immediately prior to such transaction that did not own more than fifty percent (50%) of the outstanding voting securities of the Seller immediately prior to such transaction, owning more than fifty percent (50%) of the outstanding voting securities of the surviving entity (or its parent entity) immediately following such transaction; and (c) the sale, transfer or other disposition, in a single transaction or series of related transactions, by the Seller or any Subsidiary of the Seller of all or substantially all the assets of the Seller and its Subsidiaries taken as a whole, or the sale or disposition (whether by merger, consolidation or otherwise) of one or more Subsidiaries of the Seller if substantially all of the assets of the Seller and its Subsidiaries taken as a whole are held by such Subsidiary or Subsidiaries, except where such sale, transfer or other disposition is to an Affiliate of the Seller. “Closing” is defined in Section 3.1. “Closing Date” means the date on which the Closing occurs. “Code” means the U.S. Internal Revenue Code of 1986, as amended.
Call Payment means the payment set out in the Order paid by BT to you from the Call Revenue for Calls to Non-geographic Numbers.
Call Payment means the payment the Issuer may make under clause 3.3 of the Terms and, in respect of a particular Series, is calculated as follows, as determined by the Issuer:
