CALL CAP definition

CALL CAP means the following respective amounts as to each respective EQUITY HOLDER: (i) as to LAZARD, the “CALL CAP” shall be Four Million Seven Hundred Eighty-Eight Thousand Dollars ($4,788,000.00); and (ii) as to STERLING, the “CALL CAP” shall, jointly and severally with respect to each entity that is collectively defined as being “STERLING,” be Two Million Two Hundred Twelve Thousand Dollars ($2,212,000.00).

Examples of CALL CAP in a sentence

  • The amount of the respective "CALL CAP" (as that term is defined in the CALL AGREEMENT) as to each respective EQUITY HOLDER shall be: (a) an amount equal to sixty percent (60%) of the MAXIMUM LOAN AMOUNT as to LAZARD; and (b) an amount equal to forty percent (40%) of the MAXIMUM LOAN AMOUNT as to STERLING.

  • Provided that the EQUITY HOLDER timely makes all of the payments required under this AGREEMENT, the EQUITY HOLDER’s total liability hereunder, at any particular time, shall not exceed the CALL CAP.

  • The CALL AGREEMENT shall secure the payment and performance by the BORROWER of the OBLIGATIONS; subject to the respective amounts of the CALL CAP.

  • Each EQUITY HOLDER hereby covenants and agrees at all times to maintain FUND AVAILABILITY in an amount not less than the amount of its respective CALL CAP.
