CAFS LIABILITY definition
CAFS LIABILITY means all obligations and liabilities, whether now or hereafter existing or acquired, and contingent or matured, including but not limited to all Debt and Contingent Liabilities, and all other liabilities, of (a) CAFS and each CAFS Subsidiary, and (b) Parent related to all obligations and liabilities described in CLAUSE (a), including but not limited to all agreements to acquire any debt, equity or asset of CAFS and each CAFS Subsidiary, guarantee any obligation of CAFS and each CAFS Subsidiary, and maintain the liquidity or net worth of CAFS and each CAFS Subsidiary, all liabilities resulting from substantive consolidation, membership in any corporate group or similar equitable remedy, claims with respect to the breach of any agreement, all damages and penalties, and any indemnity of any Person.
