CAD Note definition

CAD Note means that certain credit agreement, dated as of March 27, 2023, as such agreement may be amended or refinanced, including any agreement(s) extending the maturity of or refinancing (including increasing the amount of available borrowings thereunder or adding Subsidiaries as borrowers or guarantors thereunder) all or any portion of the Indebtedness under such agreement or any successor or replacement bank credit agreement(s) and whether by the same or any other agent, lender or group of lenders or creditor or group of creditors, by and among the Issuer, the lenders from time to time party thereto, ▇▇▇▇▇ Fargo Bank, National Association, as administrative agent, Bank of America, N.A., as syndication agent, Capital One, N.A., MUFG Bank, Ltd., PNC Bank, National Association and Truist Bank, as documentation agents, and BofA Securities, Inc., ▇▇▇▇▇ Fargo Securities, LLC, Capital One, N.A., MUFG Bank, Ltd., PNC Capital Markets LLC and Truist Securities, Inc., as joint bookrunners and joint lead arrangers.
CAD Note means the promissory note of CAD payable to the order of the Lender in substantially the form of Exhibit A-2 and any note or notes issued in substitution therefor, as the same may hereafter be amended, supplemented or restated from time to time.

  • A Guarantor will be released and relieved from all its obligations under a Guarantee, without any action required on the part of the Trustee or any Holder, upon such Guarantor ceasing to guarantee or to be an obligor with respect to the Senior Unsecured Credit Agreement, the CAD Note, and any other Credit Facility Debt or Capital Markets Debt.

  • All Certificated CAD Notes issued in exchange for a Global CAD Note, a beneficial interest therein or a portion thereof shall be registered in the names, and issued in any approved denominations, requested by or on behalf of CDS (in accordance with its customary procedures).

  • Borrower's liabilities and other obligations under this instrument shall be absolute and unconditional irrespective of any lack of validity or enforceability of the Credit Agreement, any CAD Note, any Loan Document or any other agreement, instrument or document evidencing the CAD Loans or related thereto, or any other defense available to Borrower in respect of this instrument.

  • Interests of beneficial owners in a Global CAD Note shall be transferred in accordance with the rules and procedures of CDS, its successors and their respective nominees.

  • This instrument shall bind Borrower and Borrower's successors and assigns and shall inure to the benefit of Agent and each Canadian Bank and their respective successors and assigns, including (without limitation) each holder of any CAD Note evidencing any Canadian Debt.

Related to CAD Note

  • Lead Note means Note A-1.

  • Non-Lead Note means each Note other than the Lead Securitization Note.

  • Note means a promissory note made by the Borrower in favor of a Lender evidencing Loans made by such Lender, substantially in the form of Exhibit C.

  • B Note means a promissory note of the Borrower payable to the order of any Lender, in substantially the form of Exhibit A-2 hereto, evidencing the indebtedness of the Borrower to such Lender resulting from a B Advance made by such Lender.

  • RMB Note means a Note denominated in Renminbi.
