C Increment definition
C Increment means the product obtained by multiplying the aggregate number of Director $7.00 Options by $7.00. The “Step C Share Value” shall be determined by dividing (i) the sum of the Base Consideration plus the Excess Capital plus the A Increment plus the B Increment plus the C Increment by (ii) the sum of the Base FP Shares plus the FP Warrants plus the Director $5.78 Options plus the Director $7.00 Options; i.e., for clarity:
