As used in this Agreement, the term “Purchase Price” will include the amount of the Buy-back Payment.
Buyer will pay to the Shareholders that portion of the Buy-back Payment in cash that equals the amount of the payment(s) made by any customer on a Buy-back Account, which payment(s) shall be made as soon as practicable after receipt of payment from the customer but in no event later than ten (10) days after such receipt.
If Bump chooses to exercise the Option within thirty (30) days of receiving the Buyback Intent pursuant to clause (ii) below, the Option Buyback Payment shall be no longer owed, or if has already been paid, it will be returned to Fn(x).
