Each of the Members agrees that during the period that it is a Member, except as permitted pursuant to Section 13.2, it shall not, directly or indirectly, compete, or engage in or become interested financially in as a principal, employee, partner, shareholder, agent, manager, owner, advisor, lender, guarantor of any Person that competes, in North America with the Gas Storage Business conducted by the Company or any of its Subsidiaries.
Each of the Members hereby acknowledges that the Company and its Subsidiaries operate in a competitive business and compete with other Persons operating in the Gas Storage Business in North America for acquisition opportunities.
In addition to the foregoing, if an Initial Member identifies an opportunity to engage in or acquire control of a Gas Storage Business but does not want the Company to pursue such opportunity, the other Initial Member shall be free to engage in or acquire control of such Gas Storage Business.
