Business Change definition

Business Change means a transaction or series of transactions between Employer and a third party (“Business Successor”) that constitute a “Change in Control” within the meaning of Treasury Regulations Section 1.409A-3(i)(5), or a transaction or series of transactions whereby the Business Successor becomes the successor to all or a significant portion of Employer’s present business.
Business Change means that, prior to any Change in Control, the business unit or subsidiary of Post Holdings, Inc., with which you are employed is transferred to a person unaffiliated with Post Holdings, Inc., wherein such business unit or subsidiary ceases to be a part or affiliate of Post Holdings, Inc., all as determined by the Plan Administrator in its sole discretion.
Business Change means that, prior to any Change in Control, the subsidiary of BellRing Brands, Inc., with which you are employed is transferred to a person unaffiliated with BellRing Brands, Inc., wherein such subsidiary ceases to be a part or affiliate of BellRing Brands, Inc., all as determined by the Plan Administrator in its sole discretion.

Examples of Business Change in a sentence

  • If, in the reasonable opinion of Miraclon, there is or is likely to be a major change in the business operations of Miraclon that has or could have an adverse impact on the viability of the provision of the Products to be supplied to the Customer (Major Business Change), Miraclon may notify the Customer and Miraclon and the Customer must meet and discuss in good faith whether the provisions of the Agreement need to be varied.
