Bulk Units definition

Bulk Units means with respect to each Bulk Subscriber, the ---------- number of units of each such Bulk Subscriber receiving at least the lowest level of basic or limited basic cable television service provided by the System (excluding "second connections", as such term is commonly understood in the cable television industry, and any account duplication); provided, that Bulk Units shall not include any units of any Bulk Subscriber if such Bulk Subscriber (i) is a Basic Subscriber pursuant to the "Basic Subscriber" definition; (ii) has given notice on or before the Closing Date of its intention to terminate service completely or who has had its service terminated by Seller on or before the Closing Date; or (iii) is or would be excluded from the definition of "Basic Subscribers" pursuant to clauses (i) - (iv) thereof.

  • The Purchase Price shall be reduced by an amount equal to the sum of (a) $1,650 multiplied by the number by which the Four Month Basic Subscribers Average is less than 6,430 and (b) $750 multiplied by the number by which the number of Bulk Units is less than 390 at the Closing Date (the "Subscriber Adjustment").
