Prior to the installation of any Tenant Building Upgrades, Tenant will obtain commercially reasonable, industry standard warranties, reasonably approved in advance by Landlord, relating to the Tenant Building Upgrades from the applicable contractors and equipment vendors and manufacturers (the “Upgrade Warranties”).
Any increase in Base Project Cost, Tenant's Specialized Improvements/Base Building Upgrades Cost, Tenant's Fixtures and Equipment Installation Cost or Phases II/III Preliminary Work Cost which results from a Tenant Change Proposal, if implemented, shall be paid by Tenant in the same manner as regular Tenant Contributions for Specialized Leasehold Improvements/Base Building Upgrades and Tenant's Fixtures and Equipment Installation.
Subject to the foregoing, Landlord will be responsible to maintain and repair the Tenant Building Upgrades in accordance with Landlord’s general Building repair and maintenance obligations as set forth in the Lease.
All awards, damages and compensation on account of any such taking of the Premises (including (a) Tenant's Specialized Improvements/Base Building Upgrades and (b) any Subsequent Alterations and Improvements made by Tenant which are Base Building Elements) shall belong and be payable to Landlord.
Additional Phase 4 Building Upgrades with Installed Hard Cost of $647,176.
The Tenant may request changes to the Base Building Work (or the Building Upgrades after final approval of the Tenant's Plans by Landlord and Tenant) by altering, adding to, or deducting from the Base Building Work or the Building Upgrades (as applicable) as set forth in Landlord's Plans or approved Tenant's Plans, subject to Landlord's prior written approval (each such requested change shall be submitted in accordance with the form of Work Change Order attached hereto as Exhibit F).
Attached hereto as Exhibit M is the Workletter dealing with the performance of the Base Building, Base Building Upgrades and the Initial Leasehold Improvements.
As work on the Project progresses, Landlord shall provide Tenant with monthly written reports of the actual Base Project Cost, Tenant's Specialized Improvements/Base Building Upgrades Costs, Tenant's Fixtures and Equipment Installation Costs and Phases II/III Preliminary Development Costs incurred.
Tenant understands that the Building Upgrades will be performed during Tenant’s occupancy and use of the Premises, and may result in inconvenience to Tenant (including noise, vibration and displacement from portions of the Premises from time to time, provided that concrete core drilling or any form of hammer drilling will be performed after hours).
