Until a Building Conveyance / Federation Conveyance in favour of the Ultimate Organisation / Federation is executed and the entire Project is declared by the Promoters as completed, the Purchaser shall permit the Promoters and their surveyors and agents, with or without workmen and others, at all reasonable times to enter into and upon the Multiplated Dwelling House / Building / Project / Larger Property and, or, any part thereof to view and examine the state and condition thereof.
The Company shall have transferred the Office Building to Seller pursuant to the Office Building Conveyance in accordance with Section 8.8(b) and a copy of the deed or other document executed in connection therewith containing the provisions required by Section 8.8(b) shall have been delivered to Buyer and Seller shall have executed and delivered to the Company, with a copy to Buyer, the Building Lease.
Seller shall pay (without right of reimbursement from the Company or Buyer) all costs, fees, taxes and expenses in connection with the Office Building Conveyance including transfer and recordation fees and taxes.
The Purchaser hereby agrees and undertakes that the Purchaser along with other unit holders in the Ultimate Organisation/ Federation shall be liable to pay all out of pocket expenses including stamp duty, registration charges, legal fees and all other applicable levies and Taxes, administrative expenses on the Building Conveyance and Federation Conveyance or any kind of document whereby ownership rights of the Building/ Larger Property are transferred to the Ultimate Organisation/Federation.
The Company hereby agrees that it shall, before execution of Building Conveyance/ Federation Conveyance as contemplated herein, make full and true disclosure of the nature of its title to the Larger Property as well as encumbrances and/or claims, if any in/over the Larger Property.
The Company shall (subject to the Office Building Conveyance having occurred in accordance with Section 8.8(b)) have executed and delivered to Seller the Building Lease.
