The Design-Builder is responsible to the Owner for acts and omissions of the Design-Builder's Design Builder, Project Manager, Constructor, employees, Subcontractors and their agents and employees, and other persons under its control and direction.
In event of conflict between the Terms and the Agreement, the Terms shall control as it relates to this Quotation and Builder Project.
B.6.4.1 Design Builder shall appoint an Independent Quality Certifier to: review and oversee quality assurance aspects of Design Builder’s QMS and Quality Management Plans; as part of the Monthly Project Report, prepare the quality assurance summary in accordance with Section B.8.5.2; report directly to the Design Builder Project Manager; review and approve all tests and inspections plans; provide monitoring and reporting on the performance of the QMS.
Builder, Project Manager and Engineer shall meet regularly as the progress of the Project requires, but in no case less than every two weeks for the Project, to review and agree upon the work performed to date and to establish the controlling items of the work for the next two weeks.
The Customer agrees that upon on-sale or disposition of any products, to inform every 3rd party directly or indirectly involved (including any Owner, Builder, Project Manager or Head Contractor) of these Terms & in particular of clauses 3, 4 & 28.
City agrees to use its reasonable best efforts to assist Builder or its affiliates in the development of the Builder Project, including any assistance with other governmental agencies as appropriate.
The City Representative shall be available at all reasonable times to serve as such liaison, it being the intention of this Section 3.6 to provide Builder with one individual as the City’s principal representative with respect to the Builder Project.
The above warranty shall be for the benefit of the Owner, Builder, Project Lender and their respective successors and assigns.
The duty and obligation of Subcontractor to defend the Builder, Project Owner and officers, agents, employees and joint venture partners herein shall arise immediately upon the Subcontractor’s receipt of notice of any such claim asserted against Builder and/or the Project Owner, and/or Subcontractor by any third party, and the communication of the same by Builder and/or the Project Owner to Subcontractor, pursuant to the notice requirements provided by this Agreement.
Builder also shall designate one or more representatives (each, a “Builder Representative”) to serve as a liaison with respect to the Builder Project, City and Playa.
