BT Proxy definition

BT Proxy means the voting rights granted to Bankers Trust Company in the event of an exercise of remedies under a Permitted Pledge of certain TCI High Vote Shares. The members of the ▇▇▇▇▇▇▇ Group represent and warrant to the Company and the members of the ▇▇▇▇▇▇▇ Group that the BT Proxy (including the terms and conditions of use of the BT Proxy) is in a form customary for similar arm's length loan transactions between similarly situated parties.
