• Consultant shall perform for BSTC the consulting services described in Schedule 1 (the “Services”).

• STI will have the right to access BSTC’s premises during normal business hours on reasonable advance notice for the purpose of inspecting the facilities used by BSTC in connection with the manufacturing, marketing and service of the Product associated with the Licensed Trademarks in order to ensure the quality thereof.

• STI may audit the books and records of BSTC relating to the calculation of any Royalty Statement.

• Consultant shall observe all policies and procedures of BSTC, and such other directives as may be promulgated from time to time by BSTC’s officers or board of directors.
