It is agreed that a failure to pay the Licensee Fees on the Order will be considered a material breach of this Agreement and if payment is not made in accordance with this Agreement, including the terms on the Order, BSSF shall have the right to revoke the license and you and your end users must cease using any Footage as soon as possible and/or charge interest at the rate of one-and-one-half percent (1.5%) per month, or such lesser amount as is allowed by law, each in BSSF’s sole discretion.
BSSF’S LIABILITY WHETHER IN CONTRACT, IN TORT, UNDER ANY WARRANTY, IN NEGLIGENCE OR OTHERWISE SHALL NOT EXCEED THE RETURN OF THE AMOUNT OF THE PURCHASE PRICE PAID BY YOU AND UNDER NO CIRCUMSTANCES SHALL BSSF BE LIABLE FOR SPECIAL, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES, OR LOST PROFITS OR ANY OTHER DAMAGE.

BSSF and/or BSSF II shall not be required to provide notice unless it/they has/have been alerted in adequate time by the management of GOL, with respect to any obligation giving rise to indemnity, for which notice has been served on GOL rather than on BSSF and/or BSSF II.
BSSF makes no representations or warranties as to whether or not any additional fees or payments may be due to any trade union, trade organization or model depicted in Footage.
If the Footage is used outside the rights restrictions set forth on the Order or by multiple users BSSF shall be entitled to enforce its rights under this agreement including all equitable and legal remedies available for copyright infringement.

The applicable Holdback Percentages initially shall be 0% for BSSF Europe GP Delaware, 15% for Existing Partners (other than BSSF Europe GP Delaware), 21% for Retaining Withdrawn Partners (other than BSSF Europe GP Delaware) and 24% for Deceased Partners (the “Initial Holdback Percentages”).

You agree to reimburse BSSF for its legal fees, costs and disbursements if BSSF is successful in enforcing any of its rights under this Agreement including, without limitation, in connection with any action to collect payment.
