Brokered Financing definition

Brokered Financing means the brokered financing of Finco Subscription Receipts to be completed prior to the Closing for gross proceeds of up to $25 million; the net proceeds of which will be placed in escrow and released to Finco, and the ▇▇▇▇▇ Subscription Receipts will automatically be converted into ▇▇▇▇▇ Units, on satisfaction of certain escrow release conditions, and each ▇▇▇▇▇ Share will then be exchanged for one Resulting Issuer Share and each ▇▇▇▇▇ Warrant will then be exchanged for one Resulting Issuer Warrant, respectively, in connection with the Transaction and the Amalgamation;
Brokered Financing means the brokered private placement of up to 31,250,000 ▇▇▇▇▇ Subscription Receipts by ▇▇▇▇▇ at a price of $0.80 per ▇▇▇▇▇ Subscription Receipt; the net proceeds of which will be placed into escrow and released to ▇▇▇▇▇, and the ▇▇▇▇▇ Subscription Receipts will automatically be converted into ▇▇▇▇▇ Units, on satisfaction of the Release Conditions, and each ▇▇▇▇▇ Share will then be exchanged for one New Carpincho Share and each whole ▇▇▇▇▇ Warrant will then be exchanged for one New Carpincho Warrant, respectively, in connection with the Amalgamation;
