Broadmark Realty hereby waives any objection to such exclusive jurisdiction and that such courts represent an inconvenient forum.
This Subscription Agreement shall not confer any rights or remedies upon any person other than the parties hereto, the SPAC and the Broadmark Entities, and each of their respective successors and assigns.
