The Campus Subsidiary shall initially be the sole member of the Broadcom Subsidiary and own one hundred percent (100%) of the membership interest in the Broadcom Subsidiary (the “Broadcom Subsidiary Interest”).
The Members agree to negotiate in good faith the terms of the amended and restated limited liability company agreement that will govern the Broadcom Subsidiary.

To the extent permitted by law, Microtune and its Subsidiaries will, during the one (1) year period after the Effective Date, advise Broadcom promptly if Microtune or its Subsidiary receives any written request or demand from any governmental agency, authority or entity which names Broadcom or a Broadcom Subsidiary or would require the disclosure of any information regarding Broadcom or a Broadcom Subsidiary in any response.
If the Broadcom Property has been contributed to the Broadcom Subsidiary, then the Campus Subsidiary shall, in turn, concurrently distribute the Broadcom Subsidiary Interest to the Member Subsidiary, which, in turn, shall concurrently distribute the Broadcom Subsidiary Interest to the Company, all on an “AS-IS, WHERE-IS” basis.
During the thirty (30) day notice period referenced in Section 4.1, neither Emulex nor any Emulex Subsidiary will make any Assertion against Broadcom, a Broadcom Subsidiary or any Broadcom or Broadcom Subsidiary patent, product, service, process or technology.
Neither Broadcom nor any Broadcom Subsidiary has employed any investment banker, broker or finder in connection with the Transactions who might be entitled to any fee or any commission from the Company or any Company Subsidiary in connection with or upon consummation of the Merger or the other Transactions based upon arrangements made by or on behalf of Broadcom.
