This Agreement may be amended, modified or supplemented only by a written instrument executed by the Loan Agent, the Bridge Agents and no consent of the Credit Parties shall be necessary to any amendment provided that any amendment, that contradicts or is in conflict with any rights or benefits of such Credit Party under the Loan Agreement or either of the Interim Loan Agreements shall require the consent of the Borrower.
Each of the parties hereto agrees promptly to execute and deliver all such amendments to the terms hereto and related documents and instruments as shall be reasonably necessary to give effect to the conversion or exchange of the Bridge Obligations (as referred to in the definition thereof), including agreements to be bound by the terms hereof by any successor Loan Agent or Bridge Agents following any such conversion or exchange.

The Loan Agent and each of the Loan Lenders acknowledges and agrees that the Bridge Agents and the Bridge Secured Parties have not inquired, and shall have no duty to inquire, into the terms of the Loan Agreement, the Loan Agreement Security Documents or any other terms of the Loan Agreement Obligations save and except as expressly set forth herein.
Effective, July 28, 2007, the annual uniform allowance for Tunnel and Bridge Agents, Senior Tunnel and Bridge Agents, Information Agents II and Information Agents III shall be 2% of the top base salary as shown on Exhibit “B” for said classification consistent with PAI 20-4.01, annexed hereto as Exhibit “N”.
The foregoing shall be prepared on a basis consistent with pro forma financial statements set forth in a registration statement filed with the Securities and Exchange Commission, including such additional adjustments as previously agreed to by Bridge Agents and/or their affiliates in connection with the Bridge Facility.
