Distributor hereby authorizes Dealer to use the name of the Fund, Distributor and BREDS in Research Reports.
Except as expressly provided herein, nothing herein shall be deemed to constitute a waiver by Distributor of any consent that would otherwise be required under applicable law prior to the use by Dealer of the name or identifying marks of the Fund, Distributor, BREDS or “Blackstone” (or any combination or derivation thereof).
The power of attorney granted by each of iStar and BREDS herein is a durable power of attorney and shall survive the dissolution, bankruptcy, death or incapacity of any Person comprising iStar or BREDS (as applicable).
Each of iStar and BREDS shall take such further action or execute such other instruments as may be necessary to effectuate the intent of this proxy.

The BREDS Group Holders shall indemnify, defend and hold harmless the BREDS Representative and its successors and assigns from and against any and all claims, demands, suits, actions, causes of action, losses, damages, obligations, liabilities, costs and expenses (including attorneys’ fees and court costs) arising as a result of or incurred in connection with any actions taken or omitted to be taken by the BREDS Representative pursuant to the terms hereof.
Each BREDS Group Holder hereby agrees to receive correspondence from the BREDS Representative, including in electronic form.
No consent, approval, waiver, order, or authorization of, or registration, declaration, or filing with, or notice to, any Person or Governmental Entity is required to be obtained or made by or in respect of BREDS in connection with the execution and delivery of this Agreement or any BREDS Document by BREDS, the performance by BREDS of its obligations hereunder and thereunder, or the consummation of the transactions contemplated hereby or thereby.
The execution and delivery by BREDS of this Agreement and each BREDS Document and the performance by it of its obligations hereunder and thereunder have been (or at the time of execution will be) duly authorized by all necessary corporate action on the part of BREDS.
This proxy and power of attorney granted by each of iStar and BREDS shall be irrevocable during the term of this Agreement, shall be deemed to be coupled with an interest sufficient in law to support an irrevocable proxy and shall revoke any and all prior proxies granted by BREDS with respect to a BREDS Director Matter.
