Breach Threshold definition

Breach Threshold means the percentage breach threshold set out in the column headed “Breach Threshold” in Schedule 7 (Relevant Standards). “British Waterways Board (Transfer of Functions) Order 2012” means the order of Defra transferring the functions of the British Waterways Board in England and Wales to CRT.
Breach Threshold means the percentage threshold of total Product Sales (measured in units or U.S. Dollars) in an Annual Period, as designated on a Schedule.
Breach Threshold means: (a) in relation to Cancellations, the percentage specified in Part 2(a) (ii) of Schedule 3 and, in relation to Total Cancellations, the percentage specified in Part 2(b)(ii) of Schedule 3, in each case of Trains which are scheduled to be provided under the Enforcement Timetable in the Relevant Reporting Period; (b) in relation to Planned Capacity, the percentage specified in Part 2(c)(ii) of Schedule 3, of the aggregate of the Planned Capacity of each relevant Train in the relevant Reporting Period; and (c) in relation to the Public Performance Measure, the percentage, specified in Part 2(e) of Schedule 3, of Trains which are scheduled to be provided under the Applicable Timetable in the relevant Reporting Year; as the same may be varied in accordance with the terms of this Agreement.

  • The Warrantors shall only be liable in respect of a Warranty Claim if the amount of the Warranty Claim exceeds €25,000 (a “Warrantor Ranking Breach”) and the aggregate of all Warrantor Ranking Breaches exceeds €250,000 (the “Warrantor Ranking Breach Threshold”), in which case Buyer shall be entitled to recover the whole amount of any Warranty Claims which constitute Warrantor Ranking Breaches and not only the amount in excess of the Warrantor Ranking Breach Threshold.

  • Buyer must notify the Seller of Breaches in excess of the Breach Threshold (any such Breaches being referred to as “Compensable Breaches”) no later than 120 days from the Closing Date.

  • If Seller shall elect to attempt to cure such Breach and such Breach would reasonably be expected to result in a Loss Factor which is at or less than the Breach Threshold, in addition to the right provided in the previous sentence to give Purchaser a credit at Closing, Seller shall have the right to adjourn the Closing and extend the Closing Date for up to twenty (20) days by providing written notice to Purchaser prior to the then scheduled Closing Date.
