Brand Damage definition
Brand Damage means any use by the Licensees that materially diminishes or otherwise materially damages the reputation or goodwill in the Licensed Marks and that is substantially different from the use by Licensees of the Licensed Marks prior to the Effective Date, other than, and specifically excluding, any reduction in use or non-use of the Licensed Marks.
