  • Dividends: Anacomp will be permitted to pay dividends to its shareholders if (a) the Direct Borrowing Sublimit is less than or equal to the FBB; (b) no Event of Default has occurred under the Facility or would be caused after the payment of such dividends; and (c) the dividend is otherwise permitted by applicable law.
