Booked Orders definition
Booked Orders means, as of any date of calculation, the aggregate dollar value of all written customer orders (including orders in respect of items previously shipped and sold) received to such date of calculation in the applicable Fiscal Year, as set forth in the Booked Order Report. Title documents shall be consigned to Agent at Agent’s request; provided that with respect to any Existing Letters of Credit for delivery of goods from outside of the United States into the United States, within five (5) Banking Days of the Restatement Date, at Agent’s request Borrower shall apply for amendments to such Letters of Credit to provide that all title documents related to such goods shall be consigned to Agent.
Booked Orders has the meaning set forth in Section 3.01 hereof.
Booked Orders means legally binding purchase agreements for the purchase of Products, whether pursuant to a purchase order, master supply agreement or other legally-binding Sales Agreement, provided and to the extent that the purchase agreement includes (i) reasonable clarity as to the quantity, pricing and delivery timetable for the Products being purchased and (ii) a substantive penalty or non-refundable deposit or milestone payments in the event of any customer termination for convenience or volume commitment reduction.

Booked Orders means signed purchase orders or similar contracts or agreements for firm orders, containing standard payment terms and without an express cancellation clause or express conditions to the performance thereof, to purchase New Products received by the Company and signed by a customer who is not an Affiliate of the Company, and agreed as conforming by Purchaser, including, without limitation purchase orders which do not contain an express cancellation clause or express conditions to the performance thereof for New Products which have not been delivered and New Products which have been delivered but against which payment has not yet been received.
