Bonus Securities definition

Bonus Securities means any:
Bonus Securities as used herein, shall mean and include all options, warrants, common stock or other securities of FPC issued to Hillary in full or partial payment of Hillary's Annual Bonus and, in the case of derivative securities such as options and warrants, all of the common stock underlying such derivative securities. The "piggy-back" registration rights referred to above shall apply to all common stock underlying any derivative securities and shall obligate FPC to register such stock at such time as FPC registers other common stock in connection with a public offering of securities, at FPC's sole cost and expense.
Bonus Securities as used herein, shall mean and include all options, warrants, common stock or other securities of FPC issued to Susax xx full or partial payment of Susan's Annual Bonus and, in the case of derivative securities such as options and warrants, all of the common stock underlying such derivative securities. The "piggy-back" registration rights referred to above shall apply to all common stock underlying any derivative securities and shall obligate FPC to register such stock at such time as FPC registers other common stock in connection with a public offering of securities, at FPC's sole cost and expense.

Examples of Bonus Securities in a sentence

  • Rising prices of the Underlying will have a negative impact on the Security Holder in case of the Reverse Bonus Securities and Reverse Bonus Cap Securities especially if a Barrier Event occurs.

  • Falling prices of the Underlying will have a negative impact on the Security Holder in the case of Bonus Securities and Bonus Cap Securities especially if a Barrier Event occurs.

  • In the case of Double Bonus Securities, there is the particular risk that the price of the Underlying falls and consequently the Security Holder will suffer a significant loss of his invested capital.

  • Falling prices of the Underlying will have a negative impact on the Security Holder in the case of Worst-of Bonus Securities, Worst-of Bonus Cap Securities and Worst-of Bonus Plus Securities especially if a Barrier Event occurs.

  • Equity-linked Securities means any debt or equity securities that are convertible, exercisable or exchangeable for Class A Shares issued in a financing transaction in connection with a Business Combination, including but not limited to a private placement of equity or debt.

  • Rule 144A Securities means all Initial Securities offered and sold to QIBs in reliance on Rule 144A.

  • Securities has the meaning stated in the first recital of this Indenture and more particularly means any Securities authenticated and delivered under this Indenture.

  • Lock-Up Securities has the meaning assigned to such term in Section 3.5.

  • NIM Securities Any debt securities secured or otherwise backed by some or all of the Class X and Class P Certificates that are rated by one or more Rating Agencies.
