The Executive shall not be entitled to any Annual Bonus for a Bonus Award Year unless the Executive remains employed by the Company through the earlier of the date the Annual Bonus is paid or the last day of the Bonus Award Year in question.
The Executive acknowledges that the amount of annual short-term incentive, if any, to be awarded shall be at the sole discretion of the Board or Compensation Committee, may be less or more than the Targeted Annual Bonus Award, and will be based on a number of factors set in advance by the Board or Compensation Committee for each calendar year, including the Company’s performance and the Executive’s individual performance.
As used in this clause (iii) the Executive’s Annual Bonus Award means the dollar amount which would have been paid to Executive for the fiscal year in which the Notice of Termination is given under the then current Company executive incentive compensation plan, based on the assumption that the Target Level of performance would be reached by the Company and the Executive.
Subject to ECC approval, in the spring of 1998, you will be eligible for a standard grant of Stock Options, and you also will be eligible for a Performance Bonus Award for the 1998-2000 award cycle under the GTE Long-Term Incentive Plan ("LTIP").
In order to receive full Separation Benefits (including but not limited to full ISEP and the Special Exercise Period described in paragraph 5 above) and the 1998 EIP Award, and in order for your participation in the LTIP Performance Bonus Award Cycles to be as described in paragraph 5 above, you will be required to sign a release upon the expiration of the Special Assignment Period.
