Bonding Requirements definition

Bonding Requirements means the standby letters of credit, guarantees, indemnity bonds and other financial commitment credit support instruments issued by third parties on behalf of Sellers or any of their Subsidiaries in respect of the Business listed on Section 5.13 of the Disclosure Schedule (such Seller or Subsidiary, a “Seller Guarantor”).
Bonding Requirements means standby letters of credit, guarantees, indemnity bonds and other financial commitment credit support instruments issued by third parties on behalf of Sellers or any of their respective Subsidiaries or Affiliates regarding any of the Acquired Assets.
Bonding Requirements has the meaning set forth in Section 7.14.

  • To the extent Buyer is unable to make such arrangements to terminate or otherwise replace any Bonding Requirements prior to the Closing (the “Remaining Guaranties”), Buyer will indemnify and hold harmless the Seller Guarantors from and against all Damages incurred by any such Person as a result of such failure and from and against any continuing obligations and liabilities arising after the Closing under any such Remaining Guaranties.
