Bond Refinancing Debt definition
Bond Refinancing Debt means Financial Indebtedness not exceeding an aggregate amount equal to the principal amount of the Securities then outstanding, accrued interest and costs and expenses incurred in connection with the refinancing, including any prepayment penalties, bank or break fees and advisors’ fees on the refinancing (less the amount of any proceeds received by any member of the Group from the closing out of any Treasury Transaction entered into in connection therewith or, if not closed out on refinancing, less the aggregate ▇▇▇▇ to market value of such Treasury Transactions to the extent such aggregate amount is positive) incurred to refinance the Securities.
Bond Refinancing Debt means Debt Incurred by the Issuer or a Subsidiary of it where the Issuer gives notice to the Trustee not later than 15 days after the Incurrence of such Debt that such Debt is intended to be utilised to refinance (as defined in the definition of Refinancing Debt) any Eurobond outstanding on the date of that Incurrence, provided that:
