Board Organization definition

Board Organization means any organization which is subject to the control or direction of any Board which is a Subscriber or by two or more Boards of which 50% or more are Subscribers and which has objectives and operations which are for the advancement or support of education or the operations of a Board or Boards. For the purposes of this clause 1(c), a Board Organization is subject to the control or direction of any Board or of two or more Boards if (i) in the case of a body corporate with share capital, (A) securities of the body corporate to which are attached more than 50% of the votes that may be cast to elect directors of the body corporate are held directly or indirectly by or for the benefit of any one or more Boards, and (B) the votes attached to those securities are sufficient, if exercised, to elect a majority of the directors of such body corporate; (ii) in the case of a body corporate without share capital, (A) any one or more Boards or their respective representatives or nominees hold membership with voting rights which, if exercised, are sufficient to elect a majority of the directors of such body corporate, or (B) any one or more Boards or their respective representatives or nominees are by the terms of the incorporation of the body corporate or otherwise entitled to nominate directors or have ex officio directors which constitute a majority of the directors of such body corporate; and (iii) in the case of any other organization, a majority of the directors, trustees, management or executive committee, governors or other body or group responsible for management or supervision of the organization are nominees or representatives of or are elected or appointed by any one or more Boards.
Board Organization means the corporation, partnership, limited liability company, association, trust or other entity or organization (including Councils) that a Director is employed by (or otherwise directly affiliated with or appointed by) at the time of such Director’s nomination, appointment, or election to the Board of Directors.
