BOA Loan definition

BOA Loan means the loan by Bank of America, N.A. (“BOA”) to MBOCo pursuant to a certain Loan Agreement, dated November 29, 2013, and all extensions, amendments, and renewals of such agreement, and all principal, interest and other amounts payable by MBOCo pursuant thereto.
BOA Loan means the ABL credit agreement dated 25 April 2013, entered into between Affinia Group Intermediate Holdings Inc., the Borrower and certain of its subsidiaries, the lenders party thereto and Bank of America, N.A., as administrative agent, as amended by the First Amendment dated 4 February 2014, as may be further amended, supplemented or otherwise modified from time to time.
BOA Loan means any loan by BoA to the Company under the Term Revolving Loan (as defined in the BoA Loan Agreement), the Revolving Loans (as defined in the BoA Loan Agreement), the Letters of Credit (as defined in the BoA Loan Agreement) or any other extension of credit or loan made by BoA to the Company pursuant to the BoA Loan Agreement or any other document or instrument.

  • The Purchaser shall cooperate with the Company and Promethean and do all such acts and execute all such documents as BOA, the Company and/or Promethean may reasonably specify (including, but not limited to, entering into any documents in connection with or pertaining to the amendment of the Bond Documents and the subordination of the Note to the loans under BOA Loan Agreements) in order for the BOA Consent to be obtained.

  • In addition, and without limiting the foregoing, until such time as the BOA Loan has been repaid in full, no Principal Shareholders shall Transfer any Securities of MBOCo, except as may be permitted by the terms of, or consented to by the lender under, the BOA Loan.

  • Borrower shall use the Loan proceeds solely (i) to repay the BOA Loan from the Term Loan Portion of the Loan and (ii) to cover costs of Tenant Improvements from the Revolving Loan Portion of the Loan.

  • As part of such refinancing, the BOA Loan and all related indebtedness to the Bank shall be paid in full and the Brunswick Guaranty and all obligations of Brunswick related to the BOA Loan shall be terminated without such payment constituting a default under any agreement between the parties hereto, and without triggering the Brunswick Purchase Option.

  • Except as permitted or required under the BOA Loan Agreement or the Related Agreements, no Grantor has entered into or granted, and will not enter into or grant, any security agreements in respect of any Collateral or permitted or permit the filing or attachment of any security interests on or affecting any Collateral that would be prior or that may in any way be superior to Agent’s security interests and rights in and to such Collateral.

  • Satisfaction/release documentation in connection with the BOA Loan.

  • Except as otherwise provided for in the Instruments, the BOA Loan Agreement and the Related Agreements, no Grantor shall sell, offer to sell or otherwise transfer or dispose of any Collateral.
