BMS Software definition

BMS Software means all software in any stage of development, whether in object or source code, and all documentation relating thereto provided by BMS, and including all copies, compilations, adaptations, translations, and derivative works thereof made by or on behalf of BMS or its Affiliate, the ▇▇▇▇▇▇▇-▇▇▇▇▇ Squibb Pharmaceutical Research Institute. For purposes of the foregoing, "derivative works" means any computer program that may be developed containing any part of the software, regardless of the form of the resulting code, the media it is carried on, or its intended use. For sake of clarity, "BMS Core Technology" excludes all trademarks.
BMS Software means software capable of safely controlling to relevant international standards in combination with the BMS the charge, discharge, balancing, and thermal management of battery cells, Modules, and Battery Packs. ***Confidential treatment requested pursuant to a request for confidential treatment filed with the Securities and Exchange Commission. Omitted portions have been filed separately with the Commission.

Examples of BMS Software in a sentence

  • All rights, title and interests in and to the BMS Software licensed hereunder, and any copies, translations or compilations thereof which may be made or permitted to be made hereunder by Exelixis are and shall remain the exclusive property of BMS.

  • Exelixis covenants that it and its Affiliates shall not use or practice the BMS Know-How, BMS Patents or BMS Software for any use or purpose except as expressly permitted in Section 5.5.   • Exelixis acknowledges and agrees that the source code of the BMS Software is highly confidential and warrants the imposition of appropriate security precautions at least as strict as those implemented for its own similar proprietary or confidential information.

  • The services outlined below are to be included, at a minimum, as emergency and support services to the County twenty-four (24) hours, seven (7) days a week, as needed: Telephone assistance for consultation and troubleshooting of the hardware and software components of the BMS Software Services via Internet to provide system and software troubleshooting and diagnostics to address software malfunctions or to make necessary revisions.

  • The right to access and use the BMS Software is free of charge during the Evaluation Period.

  • The BPA will include the currently-available BMS and BMS Software as a component thereof and ▇▇▇▇▇ will not require any additional license(s) or pay any additional royalties with respect to the BMS or BMS Software.
