BMA Employee has the meaning given in Section 2.17(h).

Except as set forth in Part 2.17(a) of the Company Disclosure Letter, neither the Company nor Stockholder has any employment or consulting agreements with any BMA Employee or consultant employed or engaged in the Company Business currently in effect that are not terminable at will (other than agreements with the sole purpose of providing for the confidentiality of proprietary information or assignment of inventions).
No pension plan of Company or, with respect to any BMA Employee, Stockholder is subject to Title IV of ERISA.
