Stockholder is a holder of record and the “beneficial owner” (within the meaning of Rule 13d-3 under the Securities Exchange Act of 1934) of certain shares of common stock of Blue Martini Software, Inc., a Delaware corporation (the “Company”).
Blue Martini Software and Vendor have entered into this Agreement as of the Effective Date.
