BLSI definition

BLSI or the "Company") will end upon the adjournment of the Company's 2004 annual meeting of stockholders, and your relationship with the Company as an independent contractor pursuant to Section 4(g) of the agreement between you and the Company captioned Restated Executive Consulting and Director Agreement dated April 13, 2003 (the "Consulting and Director Agreement") will terminate effective June 30, 2004 (the "Separation Date"). The purpose of this letter is to confirm the agreement reached between you and the Company (as generally reflected in a resolution passed by the Company's Board of Directors on May 17, 2004) concerning your separation arrangements, as follows:
BLSI or the "Company") and ▇▇▇▇▇ ▇▇▇▇▇▇▇ ("▇▇▇▇▇▇▇"), collectively the "Parties," hereby agree to amend and restate the terms of their employment and directorial relationship, for a three-year term ending June 30, 2006, as follows:

  • Disclosure of Confidential Information shall not be prohibited if such disclosure is directly pursuant to a valid and existing order of a court or other governmental body or agency; provided, however, that (i) Consultant shall first have given prompt notice to BLSI of any such possible or prospective order (or proceeding pursuant to which any such order may result) and (ii) BLSI shall have been afforded a reasonable opportunity to prevent or limit any such disclosure.

  • Consultant agrees to return all Confidential Information, and all documentary, machine-readable or other elements or evidence of such Confidential Information and any copies thereof, in Consultant possession or under Consultant control at the request of BLSI or, in the absence of such a request, upon the termination of this Agreement.

  • BLSI shall at all times retain title in and to such materials in Nordion's possession.

  • Prior to first shipment of Altropane to any third party site, BLSI shall obtain from such third party and provide to Nordion such third party's license evidencing proper legal authority for the receipt and possession of the Altropane by such third party.

  • After the Facility is established, Nordion agrees, in consultation with BLSI, to develop and implement a Master Validation Plan for the Facility that will allow the production of Altropane under cGMPs to those volumes required by BLSI, not to exceed the Maximum Batch Size.

  • This Agreement shall be binding upon, and shall inure to the benefit of, BLSI and Consultant, and their respective successors.

  • If the consulting firm -dissents from BLSI's determination or determines that failure to meet Specifications was due to products, information or services supplied by BLSI, Nordion will not have the obligations set out in this section with respect to the disputed Batch and BLSI will pay the fees of such consulting firm.
