In the event that all or a portion of the compensation due to BLRC LLC exceeds the amount permitted by government regulation to be paid from closing proceeds, then such portion of the compensation shall be paid directly by CLIENT on the date of the closing.
BLRC LLC shall perform its service with the care and skill ordinarily exercised by members of the profession practicing under similar conditions at the same time and in the same or similar locality.
