BLKD definition

BLKD on Schedule 1.1(a). Following the Closing, and in connection with its preparation of the Adjustment Schedule, SCI will make a determination (subject to Intergraph's reasonable approval) as to whether each item of the Blocked Inventory shall be treated as scrap or defective inventory hereunder (valued at $0) or whether such items of Blocked Inventory will be treated as Inventory and included in the calculation of the Final Net Book Value of the Inventory.
