ONCAC and BLFM shall each have the right to terminate this Agreement for any reason or no reason and without liability therefore on not less than ninety (90) days prior written notice (a “Termination Notice”).
BLFM will also use its best efforts to faithfully and professionally perform and discharge the following duties and responsibilities: • Provide overall transition assistance and keep ONCAC running effectively including managing daily operations.
ONCAC shall pay to BLFM at the times and in the amounts hereinafter mentioned, which shall be in full consideration of all services pursuant to this Agreement.
All notices, payments or other communications provided for by this Agreement shall be made in writing and shall be deemed properly delivered when actually received or delivered personally, or by the sending of such notice to the parties entitled thereto, by registered or certified mail, electronic facsimile, overnight delivery, with postage and costs prepaid to BLFM at the address set forth in the first paragraph of this Agreement, and to ONCAC at last known business address.
Specifically, BLFM shall keep ONCAC records separate from other records maintained by BLFM.
In the event of termination of this Agreement, the following records shall be provided by BLFM to ONCAC primary contacts, except for records necessary for its own tax or other business purposes, BLFM shall not retain copies thereof in any repository.
