Blended Value definition

Blended Value means (x) divided by (y), with (x) being (i) the Cash Election Number multiplied by $79 plus (ii) the number of shares of Parent Common Stock issued in the Merger multiplied by the Average Parent Price, and (y) being the Cash Election Number plus the Stock Election Number.
Blended Value means the sum of (1) $6.62 plus (2) an amount equal to the product (rounded to the nearest cent) of (x) 0.1064 times (y) the volume weighted average sales price per share of Parent Common Stock for the ten consecutive days that Parent Common Stock has traded ending on and including the second clear trading day immediately prior to the Effective Time as reported on Nasdaq (the “Average Per Share Price”).
Blended Value. The Blended Value per ton of the City’s recyclables will be calculated as follows:

Examples of Blended Value in a sentence

  • Where the Blended Value is greater than $180.00, the Customer’s value share is 75% of the difference.

  • By way of example: Blended Value – Processing Fee under the revised composition table = $17.79 - $72.00 = $54.21 per ton charge Estimated 96 tons per month delivered.

  • Where the Blended Value (as calculated below) is $125.00 or less, WMM will credit the CITY the full amount of the Blended Value.

  • For the purposes of the Blended Value, the composition percentages derived from the most recent Composition Audit will be effective after each Composition Audit the month immediately following the most recent Composition Audit.

  • Value Share Percentage = The City will receive 90 percent of the Blended Value.

Blended Value or “BV” is the total weighted value per Ton of each Recyclable and Non-Recyclable component (including negatively-valued Recyclables and transfer and disposal costs of Non-Recyclables) for the Single Stream Materials delivered by or on behalf of Customer to the Designated Facility.

Related to Blended Value

  • Baseline Value for each of the Company and the Peer Companies means the dollar amount representing the average of the Fair Market Value of one share of common stock of such company over the five consecutive trading days ending on, and including, the Effective Date.

  • Added value means that the Contractor performs subcontract management functions that the Contracting Officer determines are a benefit to the Government (e.g., processing orders of parts or services, maintaining inventory, reducing delivery lead times, managing multiple sources for contract requirements, coordinating deliveries, performing quality assurance functions).

  • Adjusted Value as used in subdivision (d) means:

  • Salvage value means the amount received for property retired, less any expenses incurred in connection with the sale or in preparing the property for sale, or, if retained, the amount at which the material recoverable is chargeable to materials and supplies, or other appropriate account.

  • RI Value means, in respect of a Reference Item and a ST Valuation Date, (i) the RI Closing Value for such Reference Item in respect of such ST Valuation Date, divided by (ii) the relevant RI Initial Value (expressed as a percentage).
