  • This Letter of Agreement will terminate automatically and be of no further force and effect upon the earliest of (a) execution of the Definitive Agreement by the Parties, (b) mutual agreement of the Company, BLD and the Member to terminate this Letter of Agreement, (c) at the election of the Company during the Due Diligence Period for a commercially reasonable reason, or (d) 5:00 p.m. (Pacific time) on the last day of the Exclusivity Period.

  • However, the cost of local promotional campaigns / activities shall be shared equally between the Bazaar Lube Distributor (BLD) and HPCL.
